General Terms and Conditions of Engagement

 

Confidentiality

Advisers and Online Facilitation Guides must keep confidential all information received through INGOSPhere9ja assignments, including participant details, organizational records, training materials, internal documents, and discussions. This duty continues after the assignment ends.

Data Use

Registered experts may use participant or organizational information only for the approved assignment. They must not copy, share, sell, publish, or use such information for personal purposes. Information must be stored securely and deleted or returned when requested.

Conflict of Interest

Applicants must disclose any actual, potential, or perceived conflict of interest before accepting an assignment. They must not use their position to obtain personal benefit or favour one organization unfairly.

Role and Delivery Preference

Applicants may register as:

• Subject Matter Adviser

• Online Facilitation Guide

• Both roles

They may also indicate their:

• Availability

• Location

• Delivery preference: online, in person, hybrid, or asynchronous

• Indicative rates

These details help match experts to assignments but do not guarantee engagement, payment, or a specific workload.

Review and Update of Terms

INGOSPhere9ja may review and update these Terms from time to time to reflect changes in its activities, services, legal requirements, or engagement practices. Updated Terms will be made available on the relevant page and will apply to future registrations and assignments from the stated effective date.

Material changes will be communicated where reasonably practicable. Continued participation after the effective date means you accept the updated Terms.

Existing assignments will remain governed by the terms agreed for those assignments unless the parties agree otherwise.

Intellectual Property

You retain ownership of materials you created before joining or participating in the INGOsphere9ja Expert Pool.

Materials created specifically for an agreed assignment may be used by the commissioning party for the purpose agreed in writing. You must not copy, reproduce, distribute, or use INGOsphere9ja’s materials, branding, content, or confidential information without prior permission.

You must not submit another person’s work as your own or use materials without the necessary authorization.

Responsible Data Use

You must use personal, organizational, and participant information responsibly and only for the agreed guidance, advisory, facilitation, or assignment purpose.

You must not sell, share, misuse, copy, retain unnecessarily, or disclose such information to anyone who is not authorized to receive it. You must take reasonable steps to protect information from unauthorized access, loss, or disclosure.

Information submitted to INGOsphere9ja will be handled in accordance with the INGOsphere9ja Privacy Policy.

Removal from the Expert Pool

INGOsphere9ja may suspend or remove an adviser or facilitator from the Expert Pool where there are concerns involving inaccurate or misleading information, misconduct, breach of confidentiality, misuse of data, undisclosed conflicts of interest, poor performance, safeguarding, or breach of these Terms.

Removal from the Expert Pool does not cancel payment obligations already confirmed for completed work. Obligations relating to confidentiality, responsible data use, intellectual property, and other provisions intended to continue will remain effective after removal.
